SyncDepo Terms of Service

These Terms of Service (the "Terms") govern your use of the SyncDepo website, desktop applications, and associated services (collectively, the "Services"). By creating an account or otherwise accessing the Services, you agree to be bound by these Terms.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the accuracy of your account information and the confidentiality of your login credentials. You agree to notify SyncDepo immediately of any unauthorized use of your account.

2. Use of the Services

SyncDepo provides software for synchronizing legal deposition transcripts and video. You agree to use the Services only for lawful purposes and in accordance with applicable professional obligations. You may not reverse engineer, decompile, or otherwise attempt to access the Services' source code, nor may you abuse or interfere with the infrastructure that powers the Services.

3. Software License & Updates

SyncDepo grants you a limited, non-exclusive, non-transferable, revocable license to install and use our desktop applications on devices you control, solely to access the Services in accordance with these Terms. The applications may automatically download and install updates from time to time to keep the software current, and you consent to receiving such updates. The software is licensed, not sold, and SyncDepo retains all rights not expressly granted to you.

4. Pricing & Billing

SyncDepo uses a usage-based pricing model. You purchase credits, which are consumed when you process a job based on the duration of the media, as described on the purchase page. Credits are non-transferable and non-refundable except as required by law. Charges are processed through our PCI-compliant payment partners. You authorize SyncDepo to charge your designated payment method for the credits you purchase and applicable taxes.

If you choose to save a payment method and enable automatic reload, you authorize SyncDepo to securely store your payment credentials with our payment processor and to automatically charge your saved payment method for the reload amount you configure whenever your credit balance falls below your chosen threshold. You can disable automatic reload or remove your saved payment method at any time in your account settings, which stops future automatic charges.

5. Client Materials

You retain ownership of all transcripts, video, and other materials you upload ("Client Materials"). You grant SyncDepo a limited license to host, process, and transmit Client Materials solely for the purpose of providing the Services. You represent that you have all rights necessary to upload and process the Client Materials.

6. Data Security & Privacy

SyncDepo maintains administrative, technical, and physical safeguards designed to protect Client Materials and account information. Additional details appear in our Privacy Policy.

7. Service Availability & Support

We strive to keep the Services available at all times, but occasional downtime may occur for maintenance or unforeseen issues. SyncDepo provides support via email at support@syncdepo.com.

8. Suspension & Termination

We may suspend or terminate your access to the Services if you violate these Terms or engage in conduct that harms SyncDepo, our customers, or third parties. You may discontinue use of the Services at any time by deleting your account. Upon termination we may delete your Client Materials from our systems subject to applicable law.

9. Disclaimers & Limitation of Liability

The Services are provided on an "as is" and "as available" basis without warranties of any kind. Synchronization is generated using automated speech recognition and alignment technology and may contain errors or timing inaccuracies. Synchronized output is a review and presentation aid; it is not a substitute for the certified transcript, which remains the authoritative record of the proceeding, and you are responsible for reviewing synchronized output before relying on it in any proceeding.

To the fullest extent permitted by law, SyncDepo disclaims all implied warranties and will not be liable for any indirect, incidental, special, consequential, or punitive damages. SyncDepo's total liability for any claim related to the Services will not exceed the amounts you paid in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You will indemnify, defend, and hold harmless SyncDepo and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Client Materials, including any claim that they infringe or misappropriate the rights of a third party or were uploaded or processed in violation of applicable law, a court order, or a protective order; or (b) your use of the Services in violation of these Terms.

11. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via the website or email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
